Acceptance of these terms

These Terms of Service (“Terms”) are an agreement between you — or the organization you represent — and SOLID CODE DOO, registered at 3 Grčića Milenka Street, 11000 Belgrade, Serbia (registration number 22133349, VAT number 115250451) — “AgentDepot”, “we”, “us” or “our”. By creating an account or using AgentDepot you accept these Terms. If you are accepting on behalf of an organization, you confirm that you have the authority to bind it.

The service

AgentDepot is a hosted platform for creating, configuring and running AI agents that act on your organization’s data and connected tools. We may add, change or remove features over time. We aim to give reasonable notice of material changes that reduce core functionality, but we do not guarantee that any particular feature will remain available.

Accounts and eligibility

You need an account to use AgentDepot, and you must be at least 16 years old. You are responsible for the accuracy of your account information, for keeping your credentials and API tokens secure, and for all activity that occurs under your account or your organization’s account. Tell us promptly at [email protected] if you suspect unauthorized access.

Acceptable use

You may not use AgentDepot to:

  • break the law, or infringe anyone’s intellectual property or privacy rights
  • upload or generate malware, or attempt to gain unauthorized access to any system
  • probe, scan, overload or otherwise interfere with the service, or circumvent usage limits, rate limits or billing
  • generate or distribute content that is unlawful, harassing, defamatory, or that sexualizes minors
  • misrepresent AI-generated output as human-authored where doing so is deceptive or unlawful
  • resell or provide the service to third parties except as expressly permitted by your plan
  • use the service to build a competing product, or to scrape or reverse-engineer it beyond what applicable law permits

You must also comply with the terms of any third-party service you connect to AgentDepot.

Your data

You keep all rights to the content you upload, the agents and prompts you create, and the output your agents produce (“Customer Data”). You grant us a non-exclusive, worldwide licence to host, process, transmit and display Customer Data solely to operate and support the service for you, including passing it to the subprocessors described in our Privacy Policy. We do not use Customer Data to train AI models. You are responsible for having the rights necessary to submit Customer Data and to authorize the processing you ask your agents to perform.

AI output

AgentDepot uses large language models. Output can be inaccurate, incomplete or unsuitable for your purposes, and similar output may be generated for other customers. Output is not legal, financial, medical or other professional advice. You are responsible for reviewing output before relying on it or acting on it, and for any action an agent you configured takes on your behalf — including actions in connected third-party systems.

Third-party integrations

Integrations let AgentDepot interact with services we do not control. Your use of those services is governed by their own terms and privacy policies. We are not responsible for their availability, accuracy or conduct, and an integration may stop working if the provider changes or withdraws its interface.

Fees and billing

Paid plans and usage-based charges are billed in advance or as consumed, depending on the plan you choose, through our payment processor. Fees are exclusive of taxes unless stated otherwise, and you are responsible for any applicable taxes. We may change pricing with notice effective at the start of your next billing period. Except where required by law, payments are non-refundable and unused credits or allowances do not carry over beyond their stated period. If payment fails we may suspend access after a reasonable attempt to reach you.

Suspension and termination

You may stop using AgentDepot and close your account at any time. We may suspend or terminate access if you materially breach these Terms, if your use threatens the security, integrity or availability of the service, or if we are required to do so by law. On termination your right to use the service ends; we will make Customer Data available for export for a reasonable period, after which it may be deleted in line with our Privacy Policy.

Disclaimer of warranties

To the fullest extent permitted by law, the service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted, error-free or secure, or that output will be accurate.

Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data. Our total aggregate liability arising out of or relating to these Terms or the service is limited to the amounts you paid us for the service in the twelve months preceding the event giving rise to the claim. These limits do not apply to liability that cannot be excluded by law.

Indemnity

You will defend and indemnify us against third-party claims, damages and reasonable costs arising from your Customer Data, your use of the service in breach of these Terms, or your violation of applicable law or third-party rights.

Governing law

These Terms are governed by the laws of the Republic of Serbia, and any dispute arising from them is subject to the exclusive jurisdiction of the competent courts in Belgrade, Serbia. Where mandatory consumer-protection or data-protection law in your country of residence grants you stronger rights or a different venue, that law prevails to the extent of the conflict.

Changes to these terms

We may update these Terms from time to time. If we make material changes we will update the “Last updated” date above and, where appropriate, notify you by email or through the product. Continuing to use AgentDepot after a change takes effect means you accept the updated Terms.
